We assist clients in connection with debt and equity issuances, public offerings and private placements, both in Mexico and international markets. We offer advice on asset backed securities transactions and project finance through trusts and other structures. We have been involved in the implementation of landmark Multi-Offering Shelf Registrations and the corresponding follow-on offerings, CKDs (Development Capital Certificates), CERPIs (Investment Project Certificates), and other securitization structures. The team also has unmatched experience in public tender offers aimed at obtaining a controlling interest or delisting public companies. Our experts have actively participated with the market authorities in the revision and amendments of the securities regulations.

On November 12, 2024, the Decree granting a deferral of the moment of accrual of the interest obtained in swap transactions which underlying indicator is the Interbank Equilibrium Interest Rate (“TIIE” for its acronym in Spanish) for a term of 28 days, converted into other swap transactions, and which underlying indicator is the Interbank Equilibrium Interest Rate for a term of one banking business day referred to as Funding TIIE (“TIIE de Fondeo”), in order for such transactions to be considered as a single integrated financial derivative transaction with the corresponding tax effects, was published in the Official Gazette of the Federation ("DOF").
