Ricardo Maldonado

Ricardo has over 25 years of experience providing advice and counseling to Mexican and foreign clients on domestic and cross-border merger and acquisition transactions, joint ventures and strategic alliances. He also represents issuers and financial institutions in several domestic and international, public and private debt and equity offerings, and advises clients in the negotiation, structuring and drafting of complex financings and in infrastructure projects.

Ricardo also focuses part of his practice to Corporate Governance matters, advising family-owned and publicly listed companies in related matters.

Ricardo serves as member and/or secretary of the Board of Directors of several private and stock exchange listed companies, including Consorcio Ara, Volaris, ICA, Grupo Televisa, Grupo Pueblo Bonito and Ollamani (Estadio Azteca, Club América and Play City).

On Pro Bono work, Ricardo actively participates as a mentor and lawyer assisting in matters of Endeavor México and of the Mexican Bar Association Foundation.   He is a member of the National Association of Corporate Directors and of the International Corporate Governance Network.

On November 12, 2024, the Decree granting a deferral of the moment of accrual of the interest obtained in swap transactions which underlying indicator is the Interbank Equilibrium Interest Rate (“TIIE” for its acronym in Spanish) for a term of 28 days, converted into other swap transactions, and which underlying indicator is the Interbank Equilibrium Interest Rate for a term of one banking business day referred to as Funding TIIE (“TIIE de Fondeo”), in order for such transactions to be considered as a single integrated financial derivative transaction with the corresponding tax effects, was published in the Official Gazette of the Federation ("DOF").
